A. You shall be solely responsible for your submissions of materials for publication and the consequences of publishing them. You hereby grant to Kababayancenter a nonexclusive, royalty-free, transferable, worldwide license to use, copy, modify, prepare derivative works from, distribute, publicly display and publicly perform and process your materials, or any part of it, solely on and through the Site and Services, including without limitation (a) adapting the format of your materials for suitable display on the site; and (b) displaying. In addition, where you have made your materials public, posted a link to your materials on another website, you grant to Kababayancenter a nonexclusive, royalty-free, worldwide right to sublicense the right to copy, modify, prepare derivative works from, and distribute your materials as necessary to perform the services. In connection with the above license, you provide your consent for Kababayancenter, to view your materials at any time for the purpose of providing the services and filtering content that violates this agreement. You acknowledge that you are solely responsible for all contents you submit to the site or provide to the service. You represent that you either own the materials or have the rights necessary to grant Kababayancenter.

B. You further agree that you will not: (a) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material; (b) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (c) impersonate another person.

C. Kababayancenter does not endorse any materials, and Kababayancenter disclaims any and all liability in connection with materials. Kababayancenter does not permit copyright infringing activities and infringement of intellectual property rights, and Kababayancenter will remove all materials if properly notified that such materials infringes on another's intellectual property rights, or a licensed product has been distributed here in Kababayancenter after it has been released. Kababayancenter reserves the right to remove materials or its contents and without prior notice and may remove such materials and contents in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

D. Kababayancenter reserves the right to discontinue any aspect of Kababayancenter website anytime.

4. Disclaimer of Warranty

You agree that using this website shall be at your sole risk. Kababayancenter makes no representations, warranties about the completeness or accuracy of the site content and assumes no responsibility or liability for any (a) errors or mistakes of content, (b) unauthorized access of personal information or account information, (c) any interruptions from the website, (d) any bugs, viruses, Trojan horses, worms which may be transmitted through this site by any third party. Kababayancenter does not warranty, guarantee, endorse, or assume responsible for any service or product advertised by third party through Kababayancenter website.

5. Limitations of Liability

You understand that embedded videos from 3rd parties are posted by users of the 3rd party video sharing websites and Kababayancenter has no control over the content via this site. You acknowledge that Kababayancenter is not liable for (a) any errors or omissions in any content, (b) any unauthorized access of personal information or account information (c) any interruptions from the website (d) any bugs, viruses, Trojan horses, worms which may be transmitted through this site by any third party. You acknowledge that Kababayancenter shall not be liable for any Content or User Submission, all claims arising from the use of the site or services, or defamatory, illegal conduct or offensive of the third party and that the risk of harm or damage from the forgoing rests entirely with you.

6. Indemnity

You agree to defend, indemnify and hold harmless Kababayancenter, and its contributors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses including, without limitation, reasonable legal and accounting fees arising from: (a) your use of and access to the Kababayancenter website; (b) your violation of any term of these Terms of Service; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Kababayancenter website.

7. Assignment

Kababayancenter grants you a non-transferable, non-sublicensable right to access, view and print public content, only for your personal, non-commercial use. With the exception of your  materials or content, you may not distribute any materials/content to third parties, use any material/content commercially, or otherwise copy, modify, distribute, publicly display or perform any material or content.

8. General

You may not assign any rights granted to you or delegate any of your duties hereunder; any attempt to do so is void and of no effect Kababayancenter reserves the right to change or to revise these Terms of Service at any time and without notice, and it is your responsibility to review these Terms of Service for any changes. Your use of the Kababayancenter website following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms.
